Terms of Service

The agreement between you and Dialstitch.

Effective November 2, 2026.

These Terms of Service ("Terms") are an agreement between Data McFly (1059105 B.C. LTD) ("Dialstitch", "we", "us") and the organization or person using Dialstitch ("you"). By creating an account or using the service you agree to these Terms, our Acceptable Use Policy and our Privacy Policy. If you accept on behalf of an organization, you confirm you're allowed to bind it.

1. The service

Dialstitch is a cloud phone system: calling, texting, recordings, transcription, AI notes and voice agents, queues, workflows and related tools, delivered through dialstitch.com. We may improve, change or retire features over time. If we remove something you rely on, we'll try to give you notice.

2. Accounts

You must be 18 or older and use Dialstitch for business purposes. Keep your login details safe. You're responsible for everything done under your account and by the people you invite. Tell us right away about any unauthorized use.

3. Plans, billing and renewals

  • Plans are billed per user (seat), monthly or annually, in advance. Seats follow the members of your team and changes are prorated.
  • Add-ons (such as extra or toll-free numbers) and usage charges (such as minutes beyond your plan's pool, AI receptionist minutes, toll-free inbound minutes or international calling) are billed as described on our pricing page.
  • Subscriptions renew automatically until cancelled. You can cancel any time in the billing portal; cancellation takes effect at the end of the current billing period.
  • Fees are non-refundable except where the law requires otherwise.
  • Prices exclude taxes, which we'll add where required.
  • If a payment fails we'll retry it. If it still isn't paid, we may suspend access to the app until it is.
  • We may change prices with at least 30 days' notice. Changes apply from your next renewal.

4. Phone numbers

We provide phone numbers for use with the service while your account is active and in good standing. You can port numbers in, and you can ask us to port a number out to another provider while your account is in good standing. If your account ends, numbers may be released after a reasonable period, after which we can't recover them.

5. Emergency calling (911)

Please read this section carefully. Emergency calling over the internet works differently from a traditional phone line:

  • You must give us an accurate address for each user, and keep it up to date when you move. Emergency services use this address to find you.
  • 911 calls may not work, or may be delayed, during a power or internet outage, if your device or browser isn't working, or if the service is suspended.
  • If you call from a different location than your registered address, emergency services may be sent to the wrong place. Tell the operator where you are.
  • Make sure everyone who uses Dialstitch knows these limits, and keep another way to call 911 available.

To the extent the law allows, we aren't liable for any failure or delay in reaching emergency services.

6. Recording, transcription and AI

Recording, transcribing and analyzing calls is regulated, and the rules vary by place. Some require everyone on a call to consent. You're responsible for giving notices and getting any consent required wherever you and the people you call are located. AI-generated transcripts, notes, summaries, scores and voice agent responses can contain mistakes. Review them before relying on them, and tell callers when they're speaking with an AI agent where the law requires it.

7. Calling and texting rules

You're responsible for following the laws and carrier rules that apply to your calls and messages. That includes, where they apply, the TCPA, the Telemarketing Sales Rule, do-not-call registries, Canada's Anti-Spam Legislation (CASL) and CRTC rules, and carrier requirements such as 10DLC registration for texting US phones. Our Acceptable Use Policy applies to all use of the service.

8. Your content

You own your content, including your recordings, transcripts, messages and contacts. You give us permission to host, process, transmit and display it only as needed to provide and support the service, and as described in our Privacy Policy. We may use aggregated, de-identified data to operate and improve the service. You're responsible for your content and for having the rights to it.

9. Integrations

If you connect third-party tools, such as a CRM, data you choose to sync moves between Dialstitch and that tool under that provider's terms. We aren't responsible for third-party products.

10. Availability and support

We work to keep Dialstitch reliable, but the service depends on the internet, carriers and other providers, and we don't guarantee it will be uninterrupted or error-free. Support is provided by email. Uptime commitments (SLAs) are only available in a separate written enterprise agreement.

11. Suspension and termination

We may suspend or end your access, with notice where reasonable, if you breach these Terms or the Acceptable Use Policy, don't pay, create a security or legal risk, or if a carrier or authority requires it. You can stop using Dialstitch and cancel at any time. After termination you can ask for an export of your content for 30 days, after which we may delete it.

12. Disclaimers

Except as stated in these Terms, the service is provided "as is" and "as available", without warranties of any kind, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.

13. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the service is limited to the fees you paid us in the 12 months before the claim. These limits don't apply to your payment obligations, your indemnity obligations, or liability that can't be limited by law.

14. Indemnity

You'll defend and indemnify us against third-party claims, fines and penalties (including carrier fines) arising from your content, your calls and messages, your breach of these Terms or the Acceptable Use Policy, or your violation of law.

15. Changes to these Terms

We may update these Terms. We'll post the new version here with a new effective date, and give account owners at least 30 days' notice of material changes. If you keep using Dialstitch after the changes take effect, you accept them.

16. General

These Terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. The courts of Vancouver, British Columbia have exclusive jurisdiction, unless the law where you live requires otherwise. If any part of these Terms is unenforceable, the rest stays in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of our business. These Terms, with the Acceptable Use Policy, the Privacy Policy and any order form, are the whole agreement between us about the service.
